Welcome to Foyer Social LLC, a Delaware company ("Foyer," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our websites, apps, events, tickets, waitlists, Foyer Cash, referral tools, reseller partner tools, Partner Rewards program, Venue Program, business payout tools, and any related services (collectively, the "Services"). By using the Services, creating an account, purchasing a ticket, joining a waitlist, redeeming rewards, creating referral links, or participating as a partner, venue, business, or reseller, you agree to these Terms.
We serve (a) members and guests attending events, buying tickets, joining waitlists, using Foyer Cash, or redeeming rewards; (b) approved reseller partners sharing eligible ticket referral links; (c) partner businesses participating in rewards, storefront, or payout programs; and (d) approved venues participating in our Venue Program. Program-specific terms below supplement the general terms.
You must be at least 18 years old and legally able to enter contracts to use the Services. You are responsible for keeping account credentials confidential and for all activity under your account. Provide accurate, current information; we may suspend or terminate accounts for inaccurate data or misuse.
Memberships, passes, or subscriptions may auto-renew unless cancelled in accordance with the offer terms. Pricing and benefits are described at checkout; we may update pricing upon notice. Membership perks, discounts, Foyer Cash earning opportunities, ticket limits, and event access may vary by plan, user status, event, availability, and eligibility rules. Certain events, perks, partner offers, or rewards may have additional terms presented at booking, checkout, or redemption.
Event tickets, RSVPs, reservations, and waitlist offers are subject to availability, event capacity, ticket tier limits, member limits, eligibility requirements, and any additional rules shown for the event. We may limit the number of tickets a person, account, household, payment method, or group may purchase. Tickets may not be copied, resold, transferred, or used for commercial purposes unless Foyer expressly allows it.
Waitlists may require a payment method. If you join a paid ticket waitlist, you authorize Foyer and its payment processor to save or use your payment method to complete payment if you accept a ticket offer before it expires. Waitlist offers may expire after the offer window shown in the event flow, and failing to accept in time may release the ticket to another person.
You are responsible for attending on time and complying with event instructions, venue rules, dress codes, age restrictions, health and safety rules, alcohol policies, and applicable laws. Foyer, event organizers, venues, and partners may deny entry or remove attendees for safety, capacity, misconduct, intoxication, suspected fraud, or rule violations. No-shows, late cancellations, or denied entry due to your conduct may result in forfeited tickets, fees, lost benefits, or loss of access to future events.
Refund eligibility is determined by the event terms, the checkout disclosures, these Terms, and applicable law. Some events may be marked "No refunds" or "Final sale" before purchase. If an event is marked no-refunds, ticket purchases for that event are final sale and are not refundable unless Foyer decides otherwise in its discretion or a refund is required by applicable law.
Foyer may cancel, postpone, relocate, modify, or reschedule an event because of venue issues, capacity issues, safety concerns, weather, organizer decisions, partner availability, low attendance, operational needs, or other reasons. If Foyer cancels an event and no replacement experience is provided, we will determine whether to issue a refund, credit, or other accommodation based on the circumstances, event terms, and applicable law.
Refunds, when approved, may be returned to the original payment method, issued as Foyer Cash or platform credit, or handled through another method we make available. Processing times are controlled by our payment processor and your financial institution. Platform fees, service fees, processing fees, membership fees, credits, bonuses, promotional value, and consumed benefits may be non-refundable unless expressly stated or required by law.
If a ticket, order, registration, reward, or purchase is refunded, reversed, charged back, cancelled, or determined to be fraudulent or ineligible, Foyer may reverse related benefits, Foyer Cash, referral credit, reseller commission, partner credit, payout amounts, event statistics, or account privileges. We may offset amounts owed to Foyer against future credits or payouts where permitted.
Foyer Cash, wallet credits, referral credits, bonuses, discounts, and promotional value are not cash, are not stored-value bank accounts, do not earn interest, are not transferable, and have no value outside the Services unless we expressly state otherwise. Foyer Cash may be used only for eligible purchases and may be subject to limits, expiration, minimum purchase amounts, plan eligibility, event eligibility, or other rules shown in the Services.
Member referral rewards are separate from the Reseller Partner Program. Member referral rewards may require a referred person to create an account, purchase or receive a valid ticket, attend or check in, or satisfy other eligibility rules. We may deny, reverse, cap, delay, or adjust Foyer Cash for suspected self-referrals, duplicate accounts, fake activity, chargebacks, refunds, cancellations, or abuse.
Foyer Cash applied to checkout may reduce the amount charged to your payment method. If credits fully cover an order, that order may be treated differently for referral, commission, refund, and payout purposes. Unless expressly stated, Foyer Cash is not redeemable for cash and is not refundable after use except where required by law.
The Reseller Partner Program allows approved users with the ResellerPartner role and an active reseller profile to generate eligible event ticket referral links and earn commission on qualifying ticket purchases. ReferralPartner, member referral, partner business, venue, and reseller partner roles are separate programs; eligibility for one program does not create eligibility for another.
To earn reseller commission, you must be logged in, approved by Foyer, have an active reseller profile, use valid referral links, comply with these Terms, and complete Stripe Connect Express onboarding when required. Reseller activities may be visible but disabled until onboarding and approval requirements are complete. Foyer may approve, reject, disable, suspend, or terminate reseller access at any time.
Commission rates, commission basis, eligible events, attribution windows, and link status may vary by event, reseller profile, or referral link. Unless otherwise configured, commission may be calculated after price discounts and before Foyer Cash. Foyer may snapshot commission settings at checkout or fulfillment; historical commission calculations will not necessarily change if current settings change later.
Commission is not earned on every click or order. No commission is owed for self-referrals, disabled links, inactive or rejected reseller profiles, ineligible users, free or comp tickets, zero-out-of-pocket orders unless Foyer expressly allows them, refunded or cancelled tickets, reversed transactions, fraudulent activity, duplicate or manipulated attribution, purchases outside the attribution window, or purchases for events where reseller commission is not enabled. Event owners or business owners may be excluded from earning reseller commission on their own events unless Foyer expressly allows it.
Reseller commission is ledgered after successful payment and is not paid immediately at checkout. Ledger rows may remain pending, eligible, payable, paid, failed, reversed, or cancelled depending on event timing, refund status, payout readiness, and review. Foyer may delay, withhold, offset, reverse, or cancel commission for refunds, chargebacks, fraud review, policy violations, tax or compliance issues, system errors, or other risk concerns.
Approved reseller payouts are made through Stripe Connect Express, generally on scheduled payout runs when the reseller has completed onboarding, payout details are valid, the commission is payable, and any minimum payout threshold is met. Stripe may require identity, tax, bank, or compliance information. Foyer does not collect reseller SSN, TIN, or bank account details directly for Connect onboarding. Reseller partners are responsible for their own tax reporting, and depending on applicable federal, state, and platform reporting rules, may receive tax forms through Stripe.
Partner businesses set offers, spend thresholds, eligible products or services, redemption windows, and other reward rules, subject to Foyer approval and platform controls. Foyer may request proof of spend, receipts, check-in data, or other validation to confirm eligibility. Misuse, including fraudulent receipts, duplicate redemptions, false claims, fake accounts, manipulation, or circumvention, may result in denial of rewards, reversal of Foyer Cash, account suspension, or chargebacks. Partners remain responsible for complying with applicable promotional, consumer protection, advertising, privacy, alcohol, gift card, tax, and other laws.
Venues must be approved by Foyer and may be subject to guaranteed minimums, staffing commitments, capacity commitments, scheduling rules, payout terms, and guest experience standards. Foyer may share guest profiles, preferences, dietary notes, accessibility notes, ticket information, and arrival windows to support service delivery. Venues are responsible for maintaining required licenses, permits, insurance, staffing, accessibility, security, and compliance with health, safety, employment, tax, and alcohol laws. Foyer may pause or terminate venue participation for service quality issues, safety concerns, inaccurate venue information, non-compliance, or repeated guest complaints.
Payments may be processed by third-party providers, including Stripe. You authorize charges for memberships, tickets, deposits, minimums, waitlist acceptances, storefront orders, service fees, taxes if applicable, and other amounts shown at checkout. You also authorize Foyer and its processors to store and use payment methods where you opt into saved payment, subscriptions, waitlists, or other payment flows.
Prices, fees, discounts, credits, and taxes may be calculated at checkout and may vary by event, membership, location, payment method, credits applied, or promotional eligibility. Foyer currently may not collect sales tax on certain ticket checkout flows unless shown at checkout; if tax is added or required later, it will be shown or handled according to applicable law.
Businesses, venues, sellers, and reseller partners that receive payouts may be required to use Stripe Connect or another payout provider. Payout recipients must provide accurate onboarding, identity, tax, and bank information directly to the payout provider when required. Foyer may delay, suspend, reverse, or offset payouts for refunds, chargebacks, disputes, fraud, policy violations, negative balances, failed onboarding, compliance review, or amounts owed to Foyer.
You agree not to: (a) abuse, harass, or harm other users, partners, or venue staff; (b) attempt to circumvent access controls or misuse promo codes; (c) interfere with or disrupt the Services; or (d) use the Services for unlawful purposes. We may suspend or terminate access for violations.
The Services and all related content are owned by Foyer and its licensors. You retain rights to content you submit but grant Foyer a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with providing the Services. Do not submit content you do not have the right to share.
Our collection and use of personal data are described in our Privacy Policy. We may share necessary information with partners and venues to deliver bookings, rewards, safety, and support (for example, guest names, arrival windows, or dietary notes).
The Services may link to or rely on third-party sites, payment processors, booking tools, or communication platforms. We are not responsible for third-party services, and your use of them may be governed by their terms and policies.
To the fullest extent permitted by law, the Services are provided "as is" and "as available." We do not warrant uninterrupted or error-free operation, or that events, offers, or venues will meet your expectations. Foyer does not guarantee outcomes of partner offers or venue experiences beyond what is expressly stated.
To the maximum extent allowed by law, Foyer and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities. Our aggregate liability for claims relating to the Services will not exceed the amounts you paid to us for the Services in the three (3) months preceding the claim.
You agree to indemnify and hold harmless Foyer, its affiliates, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Venue for any disputes will be the state or federal courts located in Delaware, unless otherwise required by applicable law.
We may update these Terms from time to time. Material changes will be communicated by posting an updated version with a new "Last updated" date and, where appropriate, additional notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
